⚠ Draft — Pending Counsel Review. This document is a comprehensive compliance draft. It requires review by Swiss-qualified legal counsel before the G.1 public launch.

These Terms of Service ("Terms") govern your access to and use of the Silmera platform operated by MindTheGap AI ("[Entity TBD]", "we", "us", or "our"). By creating an account or using the platform, you agree to these Terms.

1. Service Description

Silmera is an AI-powered legal intelligence platform that provides:

  • Evidence-constrained legal research powered by a multi-layer legal knowledge graph
  • AI-generated research outputs with source attribution and confidence indicators
  • Swiss limitation period calculation (FADP, OR, ZPO, BGG, and related statutes)
  • Court tendency analysis and precedent mapping
  • Regulatory impact assessment and compliance gap analysis
  • Document analysis, contract review, and legal brief generation
  • Private knowledge vault for user-uploaded documents

The service is intended for use by legal professionals, legal researchers, and organisations engaged in legal analysis. It is not intended for use by members of the public seeking personal legal advice.

2. Account and Access

2.1 Registration

You must create an account to use Silmera. You agree to provide accurate and complete registration information, and to keep your account credentials confidential. You are responsible for all activity under your account.

2.2 Eligibility

You must be at least 18 years old and have legal capacity to enter into binding contracts. If you are registering on behalf of an organisation, you represent that you have authority to bind that organisation.

2.3 API Keys

Where Silmera provides API access, API keys are personal credentials. You must not share, sell, or transfer API keys. Suspicious usage patterns may result in rate-limiting or account suspension pending investigation.

2.4 Security

You must notify us immediately at security@mtgap.ai if you suspect unauthorised access to your account. We will not be liable for losses arising from your failure to protect your credentials.

3. Credit System

3.1 Credits

Silmera operates on a credit-based consumption model. Each research query, analysis, or generation task consumes a defined number of credits depending on complexity and depth. The credit cost for each operation is disclosed in the platform before execution.

3.2 Subscription Tiers

  • Free tier — a one-off complimentary credit allocation, granted once per organisation on email verification; the current amount is shown in the platform; no renewal
  • Pay-as-you-go — credits purchased at standard rates; no expiry
  • Founder plan — discounted credit bundles at Founder pricing
  • Annual plan — committed annual credit allocation at Annual pricing

Current pricing is published at oraclea.ai/pricing and may be updated with 30 days' notice.

3.3 No Refunds on Consumed Credits

Credits consumed in service delivery are non-refundable. Credits that have not been consumed may be refunded at our discretion within 14 days of purchase if the service has not been delivered as described. Refund requests must be submitted to billing@mtgap.ai.

3.4 Credit Expiry

Pay-as-you-go credits do not expire. Subscription plan credits that are not consumed within the subscription period are forfeited upon expiry, unless otherwise stated at the time of purchase.

4. Acceptable Use

You agree not to use Silmera for any of the following:

  • Automated scraping. You may not use bots, scrapers, or automated tools to extract data from the platform beyond standard API access granted under your subscription.
  • Redistribution of raw outputs without attribution. You may not redistribute raw AI-generated research outputs as your own work without proper attribution to the source legal materials. Formatted and edited research is your own work product.
  • Generation of false legal documents. You may not use Silmera to generate forged legal documents, fraudulent court submissions, or any material intended to deceive courts, parties, or regulatory bodies.
  • Legal ethics violations. You must comply with the professional conduct rules and legal ethics obligations applicable in your jurisdiction. Silmera is a research tool; ultimate professional responsibility remains with the licenced practitioner.
  • Circumventing credit limits. Creating multiple accounts to circumvent credit limits or access controls is prohibited.
  • Reverse engineering. You may not attempt to extract, reverse engineer, or replicate the knowledge graph, AI models, or platform architecture.

We reserve the right to suspend or terminate accounts that breach these restrictions.

5. Intellectual Property

5.1 Your Research Outputs

Research outputs generated by Silmera in response to your queries are your work product. You own your research outputs subject to the limitations described in these Terms and applicable law regarding AI-generated content.

5.2 Platform IP

MindTheGap AI retains all intellectual property rights in the Silmera platform, including the software, user interface, AI models, prompts, knowledge graph (including its structure, curation, and edge definitions), and all derivative works. Nothing in these Terms grants you any ownership interest in the platform.

5.3 Licence for Uploaded Documents

When you upload documents to Silmera, you grant us a limited, non-exclusive, non-transferable licence to process those documents solely to deliver the service features you activate. We do not claim ownership of your uploaded documents, and we will not use them for any purpose beyond service delivery.

5.4 Feedback

If you provide feedback, suggestions, or error reports about the platform, you grant us a perpetual, royalty-free right to use that feedback to improve the service without obligation to you.

6. Disclaimers

NOT LEGAL ADVICE. Silmera provides legal research assistance, not legal advice. The platform is a research tool that assists legal professionals in their work. Nothing generated by Silmera constitutes legal advice, and no attorney-client relationship is formed between you and MindTheGap AI.

6.1 Verification Responsibility

You are responsible for independently verifying all research outputs against primary legal sources before relying on them. Legal information changes frequently; court decisions may be overruled; statutes may be amended. Silmera's knowledge graph has a data currency date which is displayed in the platform.

6.2 Limitation Period Calculator

The limitation period calculator provides computational assistance based on the statutory provisions encoded in our database. Outputs must be verified against the current text of applicable statutes and applicable case law before any procedural step is taken. Incorrect calculation of a limitation period can result in the loss of a client's claim. We accept no liability for missed deadlines.

6.3 No Warranty

The platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or timeliness of legal information.

6.4 Availability

We do not warrant uninterrupted or error-free operation of the platform. Scheduled maintenance, infrastructure events, or third-party service failures may cause downtime. We will endeavour to notify users of planned maintenance with reasonable advance notice.

7. Limitation of Liability

To the maximum extent permitted by Swiss law:

  • Our total aggregate liability to you for any claims arising under or in connection with these Terms is limited to the total subscription fees you paid to us in the 12 months preceding the event giving rise to the claim.
  • We are not liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profit, loss of revenue, loss of data, loss of client business, or professional liability claims arising from your use of Silmera outputs.
  • We are not liable for losses arising from missed limitation periods, procedural deadlines, or filing errors where you have relied on platform outputs without independent verification.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under mandatory Swiss law.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting support@mtgap.ai or through your account settings. Termination takes effect at the end of your current billing period. Unused credits will not be refunded.

8.2 Termination by Us

We may terminate or suspend your account with 30 days' written notice for any reason, or immediately upon:

  • Material breach of these Terms that is not remedied within 7 days of notice
  • Non-payment of outstanding invoices
  • Abuse of the platform, including attempts to circumvent access controls
  • Activity that exposes us or other users to legal risk

8.3 Effect of Termination

Upon termination, your access to the platform ceases and your data is retained for 30 days before deletion, during which time you may request a data export. Sections 5, 6, 7, and 9 survive termination.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

The exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms is Zurich, Switzerland, subject to mandatory provisions of applicable consumer protection law.

10. Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either party may initiate this process by sending written notice describing the dispute.

If the dispute is not resolved within 30 days of the notice, either party may submit the dispute to the exclusive jurisdiction of the Zurich Commercial Court (Handelsgericht des Kantons Zürich).

Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' written notice by email before the changes take effect. Your continued use of Silmera after the effective date constitutes acceptance of the revised Terms.

If you do not accept the revised Terms, you may terminate your account before the effective date in accordance with Section 8.1.
